1. Acceptance of Terms

By accessing or using ninjatoolz.com and our related services (“Services”), you agree to be bound by these Terms of Use (“Terms”) and our Privacy Policy. NinjaToolz provides a suite of high-performance, browser-based utilities. If you do not agree to these terms, please do not use the Services.

2. Eligibility

You must be at least 13 years old to use our Services. By using NinjaToolz, you represent and warrant that you meet the minimum legal age required in your jurisdiction or have obtained parental/guardian consent.

3. No-Signup Experience

Currently, NinjaToolz offers a “No-Signup” experience. We do not require you to create an account or provide a password to access our standard tools. This ensures a friction-free and private user experience. Should we introduce account-based features in the future, these Terms will be updated to reflect user responsibility for credential security.

4. License to Use the Services

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use NinjaToolz for lawful, personal, or internal business purposes. All rights not expressly granted are reserved by NinjaToolz.

5. User Content and Processing

You retain 100% ownership of all content, files, or data you process through our Services (“User Content”). NinjaToolz does not claim any ownership rights over your files.

Because our tools utilize client-side technology, your files are processed locally within your own web browser. NinjaToolz does not upload, store, view, or “host” your processed files on our servers. Any technical license granted to us under these terms is strictly limited to the mechanical necessity of rendering the output on your screen during your active session.

6. Acceptable Use

You agree not to:

• Use the Services for any unlawful, deceptive, or harmful purpose.
• Attempt to reverse engineer, scrape at scale, or bypass the technical restrictions of the tools.
• Use our utilities to process content that infringes on the intellectual property or privacy rights of others.

7. Intellectual Property

All NinjaToolz branding, logos, custom code, and website content are the exclusive property of NinjaToolz and are protected by applicable intellectual property laws. You may not copy, modify, or distribute our proprietary code or design elements without prior written consent.

8. Third-Party Services and Advertising

NinjaToolz is supported by third-party services, including Google AdSense. We are not responsible for the content, terms, or privacy practices of these third-party vendors. Your interaction with advertisements is governed by the respective policies of those providers.

9. Disclaimers

The Services are provided “as is” and “as available.” While we strive for 100% accuracy and performance, we disclaim all warranties, express or implied. We do not guarantee that:

• The tools will be error-free or uninterrupted.
• The output of the tools, such as file conversions or compressions, will meet your specific quality requirements.
• The Services are free from harmful components.

10. Limitation of Liability

To the fullest extent permitted by law, NinjaToolz and its affiliates shall not be liable for any indirect, incidental, or consequential damages, including loss of data or profits, arising from your use of the Services. Our total aggregate liability for any claim shall not exceed $10 USD.

11. Informal Dispute Resolution

We believe most disagreements can be resolved informally. Before filing a formal claim, you agree to first try to resolve the dispute by contacting us at hello@ninjatoolz.com. Both parties agree to make a good-faith effort to settle the dispute informally for a period of at least thirty (30) days before initiating arbitration or court proceedings.

12. Governing Law, Arbitration, and Class Action Waiver

These Terms are governed by the laws of the Republic of India. Any disputes that are not subject to arbitration shall be subject to the exclusive jurisdiction of the courts located in Gurugram, Haryana, India.

If a dispute cannot be resolved informally, you and NinjaToolz agree that the claim will be resolved by binding arbitration under the Indian Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English in Gurugram, Haryana, or through a recognized institution such as the Delhi International Arbitration Centre (DIAC).

All claims must be brought in the parties’ individual capacity, and not as a plaintiff or class member in any purported class action or representative proceeding. By using NinjaToolz, you waive your right to participate in a class action lawsuit.

13. Changes to the Terms

We may modify these Terms at any time. Any updates will be posted on this page with a revised “Effective Date.” Continued use of the site after such changes constitutes your acceptance of the new Terms.
